Affiliate Program Agreement
Welcome to the Secret Energy Partner Program. This Agreement sets the rules of the road. By enrolling, you accept every article below.
This Affiliate Program Agreement ("Agreement") is entered into between Spiritechs Inc ("Secret Energy," "we," "us") and you ("Affiliate"). By enrolling in or participating in our affiliate program, you agree to be bound by this Agreement.
Article 1 — Eligibility
You must be at least 18 years of age to participate. You must provide accurate account and payout information and keep it current.
Article 2 — Commission Terms
- Commission rate: 12% of the qualifying product subtotal (excluding shipping, taxes, and discounts) on each referred sale.
- Cookie window: 60 days from the referred click.
- Hold period: Commissions remain pending for 30 days as a refund-protection window before becoming payable.
- Minimum payout: $50 USD.
- Payout method: PayPal, to the email address on file.
Article 3 — Right to Modify or Cancel the Program
We reserve the right to modify, suspend, or cancel the affiliate program — in whole or in part — at any time, for any reason, with or without notice. No Affiliate has a vested right to the continuation of the program.
Article 4 — Prohibited Conduct & Misuse
The following constitute misuse and are strictly prohibited. Engaging in any of them is grounds for immediate removal and forfeiture of commissions:
- Customer sniping — posting affiliate links in our chats, communities, support channels, comment sections, or any Secret Energy property to intercept or divert our existing customers.
- Link-aggregator / coupon-farm sites — operating or submitting traffic from affiliate-link aggregator websites, coupon-scraping sites, or similar low-value placements.
- Brand bidding — bidding on "Secret Energy," "Secret Energy," or confusingly similar trademarked terms in paid search (PPC) advertising.
- Self-referrals — placing orders through your own affiliate link for personal benefit.
- Misrepresentation — making false, misleading, or unauthorized claims about our products, including unapproved health or medical claims.
- Spam — distributing affiliate links through unsolicited email, SMS, or any channel that violates anti-spam laws.
- Cookie stuffing, forced clicks, iframe injection, or any deceptive technical method of generating clicks or attribution.
Article 5 — Removal & Withholding of Commission
We reserve the right to remove any Affiliate account and to withhold or void any accrued commissions in cases of misuse, fraud, or breach of this Agreement, as determined in our sole discretion. Withheld commissions are forfeited and non-recoverable.
Article 6 — Relationship of the Parties
You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint-venture, or agency relationship. You are responsible for your own taxes.
Article 7 — Intellectual Property & Brand Use
We grant you a limited, revocable, non-exclusive license to use our approved logos and creative assets solely to promote our products. You may not alter our marks or imply endorsement beyond the affiliate relationship.
Article 8 — Termination
Either party may terminate this Agreement at any time. Upon termination, your right to use our marks ceases immediately. Articles 4, 5, 9, and 10 survive termination.
Article 9 — Limitation of Liability
To the fullest extent permitted by law, our liability to you under this Agreement is limited to commissions properly earned and payable. We are not liable for any indirect or consequential damages.
Article 10 — Governing Law
This Agreement is governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.
Article 11 — Changes to This Agreement
We may amend this Agreement at any time. Continued participation after changes constitutes acceptance of the revised terms.
